Pearl City Media Social Terms of Use

Welcome to the Pearl City Media Social management platform (“Service”). These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Pearl City Media, LLC (“Company,” “we,” “us,” or “our”).

1. Description of Service

Pearl City Media Social is a social media management platform that enables users to:

• Connect and manage multiple social media accounts (Facebook Pages, Instagram Business accounts, and other platforms)
• Schedule, create, and publish content across connected platforms
• Monitor engagement and analytics
• Respond to comments and messages
• Generate reports on social media performance

2. Eligibility

To use our Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws
• Have authorization to manage the social media accounts you connect

3. Account Registration

3.1 Account Creation

You must create an account to use our Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use or security breach

3.3 Account Sharing

You may not share your account credentials or allow others to access your account without proper authorization through our multi-user features.

4. Acceptable Use

4.1 Permitted Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only to manage social media accounts for which you have proper authorization.

4.2 Prohibited Conduct

You agree NOT to:

• Engage in any activity that could damage, disable, or impair the Service
• Use automated systems (bots, scrapers) except as explicitly permitted
• Circumvent any security or access controls
• Resell or redistribute the Service without authorization
• Use the Service to manage accounts you do not own or have permission to manage

5. Third-Party Platform Compliance

5.1 Platform Terms

When you connect social media accounts (such as Facebook or Instagram), you must comply with those platforms’ terms of service, community guidelines, and policies. This includes but is not limited to:

• Meta (Facebook) Terms of Service
• Meta Advertising Policies
• Meta Community Standards

5.2 Platform Changes

Third-party platforms may change their APIs, terms, or features at any time. We are not responsible for changes made by third-party platforms that affect the functionality of our Service.

5.3 Account Suspension

If a third-party platform suspends or terminates your account, we cannot restore access through our Service.

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of all content you create, upload, or publish through our Service (“User Content”). By using our Service, you grant us a limited, non-exclusive license to store, display, and transmit your User Content solely for the purpose of providing the Service.

6.2 Responsibility for Content

You are solely responsible for all User Content you post through our Service. You represent and warrant that:

12. Termination

12.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature within the Service.

12.2 By Us

We may suspend or terminate your account at any time, with or without cause, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease.

12.3 Effect of Termination

Upon termination, we will delete your account data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification.

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Iowa, United States, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Muscatine County, Iowa, in accordance with the rules of the American Arbitration Association.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pearl City Media, LLC regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

15.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
