Automate by Pearl City Media End User License Agreement

1. Acceptance of Terms

By installing, connecting, or using this App, you (“User”) agree to be bound by this End-User License Agreement (“Agreement”) between Pearl City Media, LLC (“Developer,” “we,” “us”) and you. If you do not agree, do not use or access the App.

2. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App solely for your internal business operations and only in connection with your valid QuickBooks Online account.

3. Ownership & Intellectual Property

The App, its source code, and all related materials remain the exclusive property of Pearl City Media, LLC. No ownership rights are transferred. All trademarks and logos are the property of their respective owners, including Intuit Inc. and its affiliates.

4. Data Access & Privacy

• The App accesses your QuickBooks data only through Intuit’s OAuth authorization and only to perform App functions (e.g., payroll calculations, creating transactions, reports).
• We do not sell or share your data with third parties.
• We follow Intuit Developer Terms and applicable privacy laws. See our Privacy Policy for details.

5. User Responsibilities

• Maintain valid QuickBooks credentials and permissions.
• Ensure your data is accurate and backed up.
• Use the App in compliance with applicable laws and accounting standards.

6. Support

Support is provided by Pearl City Media, LLC at [email protected]. We target reasonable response times during U.S. Central business hours.

7. Fees & Payment

Unless otherwise agreed, the App may be offered as a paid subscription or bundled service. Fees will be disclosed prior to activation.

8. Disclaimer of Warranties

The App is provided “AS IS” without warranties of any kind, express or implied. We do not warrant that the App will meet your requirements or operate without interruption or error.

9. Limitation of Liability

To the fullest extent permitted by law, Pearl City Media, LLC is not liable for indirect, incidental, consequential, special, or exemplary damages (including lost profits, data loss, or business interruption) arising from use or inability to use the App.

10. Termination

Either party may terminate at any time. Upon termination, you must immediately disconnect the App from QuickBooks and cease use.

11. Updates & Modifications

We may modify this Agreement or the App at any time. Continued use after notice of changes constitutes acceptance of the updated terms.

12. Governing Law

This Agreement is governed by the laws of the State of Iowa, USA, without regard to conflict-of-law principles.

13. Entire Agreement

This Agreement, together with the Privacy Policy, constitutes the entire understanding between you and Pearl City Media, LLC regarding the App.
